The member states of the European Union comprise just as many different legal orders. To an increasing extent, these national rules are based on European directives and need to be interpreted in the market oriented spirit of the underlying European rules. Other European rules in European regulations or the Treaty of the European Union take priority over the national law of the members states of the European Union. The interpretation of all European acts is under the ultimate control of the European Court of Justice. European Company law has many facets: The European Company law regulates the creation of legal entities – such as the “Societas Europae” – under a European regime. Certain issues are supplemented by national law.
Moreover, while, with nuances as to the details, a number of company related European directives have been transformed into the various national European company laws, their interpretation remains a question of European law. Finally European case law often also decides on the choice of the applicable national company law. Primerus lawyers help, through their Primerus network, to navigate through this European legal jungle.
