David Montoya is Of Counsel in the Firm’s Corporate and M&A Practice Groups, where he represents financial institutions, private equity, and venture funds in all aspects of corporate law, including corporate formation, M&A transactions, private placements, public regulatory filings, real estate transactions, and tax matters. His work involves a sophisticated blend of legal and investment expertise, acting as chief counsel within investment funds and as a decision-maker on the investment committee. He has extensive experience in venture capital, including negotiating term sheets, convertible notes, SAFEs, securities and shareholders’ agreements, warrants, options, and loan agreements for private placements.  He has advised corporations and high-net-worth individuals on financial planning, estate planning, and tax issues, negotiated legal settlements, and provided business and tax advice for SBIC and alternative asset fund formations.  David often acts as a “general counsel” for businesses that are too small to justify the time and expense of hiring a dedicated in-house counsel.

Beyond his legal experience, David has been lead or co-lead for investments that have produced significant returns for investors. He co-founded SeaView Mezzanine Fund, LP and its affiliated entities, a private equity fund, was a principal at Silicon Alley Venture Partners, a venture capital fund in New York City, and was the Director of Investments at the New York City Investment Fund, a private investment fund created by Henry Kravis and Jerry Speyer. In addition, he acted as COO & CFO of a public company listed on the NASDAQ.

Over the course of his career, David specialized in mergers and acquisitions at well-known national law firms and was an accountant at Ernst & Young LLP working in the financial services audit group and the M&A tax group.  He sits on the board of directors of Symco Group, Inc., Ryvyl, Inc. (Nasdaq: RVYL), Genutec Business Solutions, Inc. and Saugatuck Brands, Inc.

He received his JD from the New York University School of Law, an MBA from Columbia University, and received his undergraduate degree in finance from St. John’s University. He is admitted to practice in New York.  David is also a CPA (retired).
