Mr. Shen Yifan graduated from Edinburg University in the United Kingdom with an LLM degree.
Since joining Watson & Band, Mr. Shen has focused on the research and practice of corporate investment and financing, M&A, corporate restructuring and other corporate commercial affairs and legal issues such as real estate and infrastructure construction. In the areas of corporate investment and financing and M&A, he led or participated in a number of major projects: the listing of Fushouyuan Group on the HKEx Main Board, domestic restructuring and a series of acquisition cases for Fushouyuan, the first issuance of exchangeable corporate bonds in mainland China (the issuance of exchangeable bonds by Baosteel Group through Xinhua Insurance stock).
He has also provided specialized legal services for other projects including restructuring and acquisition projects for a number of companies under Baowu Group as well as investment and acquisition projects for numerous venture capital institutions and private equity funds. These transactions include equity transfers, asset transfers, equity contributions and capital and stock increases totaling over RMB 10 billion. In the real estate and infrastructure construction sector he served as the lead attorney for a team offering full legal services to the project on Open Space leading down the East Bund of the Huangpu River. He has also provided specialized legal services to East-Bund Group, Pengxin Group, Coastal Group and a number of other real estate development enterprises.
As a member of Shanghai Bar Association State-Owned Assets Supervision and Administration Commission, Mr. Shen has provided long-term legal counseling for numerous state-owned enterprises. Apart from daily legal consulting on contract, labor and corporate compliance issues, he also handles a large number of state-owned property trading projects and state-owned enterprise restructuring projects, and he provides legal protection for mixed-ownership reforms by state-owned enterprises.
Mr. Shen also possesses rich experience in foreign investment. He has provided legal services to various foreign enterprises relating to the incorporation and establishment of wholly-owned companies, joint ventures and representative offices. He has also successfully handled numerous cases for foreign clients involving the acquisition of domestic enterprises by foreign investors as well as withdrawal negotiations and other transactions for foreign shareholders.
Mr. Shen is a practicing P.R.C. lawyer and holds a qualification certificate from the Asset Management Association of China. His working languages are Mandarin Chinese and English.
