We specialise in the field of corporate tax matters, arising on all forms of corporate transactions and advising on all aspects of the UK and international taxation. We regularly advise on the tax aspects of M&A transactions, private equity acquisitions and exits, general corporate reorganisations and restructurings. With a very broad and substantial experience, we also provide support to business start-ups and venture capital companies and investors on tax structuring generally and various UK tax exemptions and reliefs including EIS, SEIS, business asset disposal relief and investor’s relief. In addition, we also advise on a wide range of employment tax-related matters including share schemes (whether as part of a transaction or on an advisory basis).
Our tax advice is integrated into a broad range of financing transactions including when we represent lenders and borrowers in a diverse variety of business sectors. We have the right tax skill set to advise on transactions ranging from plain vanilla loan agreements to more complex international and syndicated financings as well as private placements and debt and equity securities offerings.
Our tax team has strong capabilities to advise fund managers and investors on the formation and operation of, and investment in, private investment funds including co-investment and transactions in secondary fund interests. This also includes comprehensive advice on fund managers’ set-up and taxation of various incentive arrangements including carried interest and co-investment.
