Description: In most contract negotiations, the key to getting a “good” contract is to identify and understand specific “risk-shifting” provisions of the contract.  In this presentation, we will discuss strategies for addressing key contractual provisions, such as indemnification, termination, and change order processes. We will look at these provisions from the stronger party’s point of view, and from the weaker party’s; we will analyze and prioritize the risks involved; and then discuss the subtleties of agreeing on a final provision.

This presentation will be a concise, practitioner-level look at negotiating key contract provisions that affect companies every day. It will provide useful insights for anyone who has to review or negotiate contracts, including project owners, general contractors, subcontractors, professional service contractors, and the attorneys who draft and negotiate for them.

Jeremy T. Burton is a partner of Lipe Lyons Murphy Nahrstadt & Pontikis Ltd., and a member of the firm's product liability and tort defense practice groups. He focuses his practice on defending product liability, premises liability, insurance coverage and commercial matters in state and federal courts.

Mr. Burton has litigated product liability cases involving a variety of products, including automotive components, elevator components and plumbing components. He currently serves as regional counsel for a major clutch manufacturer in asbestos litigation and is regional counsel for a plumbing fixture manufacturer.

Mr. Burton also has represented settling plaintiffs and defendants with respect to the Medicare, Medicaid and SCHIP Extension Act of 2007 (MMSEA). In this regard, he has shepherded parties through disputes with the Centers for Medicare Services (CMS) and has drafted settlement documents to reflect the new Medicare laws.

In addition, Mr. Burton has extensive experience in disputes arising from construction worksite accidents, representing owners, owner's representatives, general contractors and subcontractors. He has defended contractors in dozens of large-scale accident cases involving claims of negligence, unsafe construction practices and failure to provide a safe worksite.

As employers in the hospitality/entertainment/retail sector, your employees not only have opportunities to interact with the public but are required to do so.  In a perfect world, your employees are polite, professional and serve as ambassadors to the public.  In the real world, despite best efforts, employees sometimes choose to act in intentional or even criminal ways that cause harm to fellow employees or customers.  These types of events have the potential to create catastrophic damages.  When that happens, the employer as well as the employee are often brought into civil litigation.  This webinar will address the various theories of liability that may be used to hold an employer responsible for the intentional, criminal acts of its employees.  These include negligent hiring, supervision and retention.  It will also address issues of best practices that employers, their insurers and risk managers will want to consider in this context.  Although litigation cannot be avoided altogether these best practices may help to reduce litigation and will certainly place employers in the best position to defend in those cases where litigation is instituted.

Brian A. Comer is a litigator with Collins & Lacy, P.C. in Columbia, South Carolina, where he practices in both products liability and professional liability  law. Brian has extensive experience in products liability law, including serving as national coordinating counsel for a major pharmaceutical manufacturer in mass tort multi-district litigation.  Brian also authors a blog entitled "The South Carolina Products Liability Law Blog" at http://scproductsliabilitylaw.blogspot.com. Brian will speak on exceptions to the duty to warn relating to food products, including foods associated with common allergies and substances consumed over a long period of time.  This discussion will include analysis of Restatement (Second) of Torts Section 402A, comment j, and the Food Allergen Labeling and Consumer Act that went into effect in 2006.  Brian will also discuss the exception to the duty to warn for open and obvious risks that should be "common sense" to a product user, without the need for any warning about these types of dangers.  Brian will provide examples of this exception in case law, and he will also discuss how new technologies may impact this exception in the future (i.e., designs that can prevent open and obvious risks so that if they are omitted, a manufacturer may still be liable).

 

Rick Quinlivan is a trial attorney based in Southern California with significant trial experience in product liability cases.  He is national counsel for a product manufacturer and has been lead counsel in trials in several states. Rick will be opening the presentation with a brief overview of the duty to warn as it applies to products generally. He will discuss the reasons warnings are necessary and to whom the duty to warn extends. He will also address the methods used by plaintiffs to establish failure to warn claims. Rick will conclude with a synopsis of issues concerning the post-sale duty to warn.

 

 

John R. Brydon is a trial lawyer and a founding principal at Brydon Hugo & Parker in San Francisco, California.  He has represented numerous fortune 500 corporations in products liability trials.  John is certified in civil trial advocacy by the National Board of Trial Advocacy; a member of the American Board of Trial Advocates and also a Diplomate of the Litigation Counsel of America. He will speak on exceptions to the duty to the failure to warn as it relates to recent developments in the application of the sophisticated user doctrine and the corollary concept of the learnedintermediary.  This will include not only a discussion of the doctrines as they have evolved in pharmaceutical litigation but the expansion of those doctrines in mass tort trials.  He will also discuss the government contractor defense and the circumstances under which defendants that supply products to the government and military may be relieved from the duty to warn. John hastried cases to verdict in which these defenses have been litigated and he has practical trial experience and insights into presenting these issues to juries.
